These Terms apply to (i) your use of the goingamsterdam.com website, and (ii) any quotation, proposal, order confirmation or service agreement between GoingAmsterdam.com and a client for administrative and/or bookkeeping-related support services (together, the "Services"), unless we and the client have expressly agreed otherwise in writing. By using this website, requesting a quotation, or engaging our Services, you accept these Terms.
Any general terms and conditions used by a client are expressly rejected, unless GoingAmsterdam.com has accepted their applicability in writing.
The content of this website is provided for general information about GoingAmsterdam.com and its Services. While we take reasonable care to keep it accurate and up to date, we do not guarantee that the website is complete, error-free or uninterrupted, and no rights can be derived from its content. Nothing on this website constitutes a binding offer unless expressly stated as such.
Quotations and proposals issued by GoingAmsterdam.com are free of charge and non-binding unless expressly stated otherwise, and remain valid for 30 days from their date unless a different period is stated. An Agreement is formed when GoingAmsterdam.com and the Client confirm the scope of Services and fees in writing (including by email), or when GoingAmsterdam.com starts performing the agreed Services at the Client's request, whichever happens first.
GoingAmsterdam.com provides administrative and bookkeeping-related support services, as described on the Services page of this website and as further specified in the Agreement with the Client. The exact tasks, deliverables, frequency and any deadlines are agreed with each Client individually; general descriptions on this website are indicative and do not by themselves define the scope of a specific Agreement.
GoingAmsterdam.com performs the Services to the best of its ability and in line with what may reasonably be expected from a diligent service provider (a "best-efforts" obligation), unless a specific result has been explicitly agreed in writing.
To enable us to perform the Services properly and on time, the Client shall:
Delays or errors caused by incomplete or late information from the Client are not attributable to GoingAmsterdam.com.
GoingAmsterdam.com provides administrative and bookkeeping-related support — organising, preparing and processing information and documents. Unless explicitly agreed otherwise in writing, our Services do not constitute accounting, tax, legal or financial advice, statutory audit, or the preparation and filing of tax returns or annual accounts, and should not be relied upon as such. We recommend that Clients maintain their own qualified accountant, tax adviser or legal counsel for such matters; where useful, we are happy to liaise with that adviser on the Client's behalf as part of the agreed Services.
Fees for the Services are as agreed in the quotation or Agreement, exclusive of VAT unless stated otherwise. Unless agreed differently in writing:
An Agreement for ongoing support runs for the period agreed between the parties, or otherwise for an indefinite period, and may be terminated by either party in writing with 30 days' notice, unless a different notice period has been agreed. Agreements for a one-off or project-based service end automatically upon completion and acceptance of the agreed deliverable.
Either party may terminate an Agreement with immediate effect, in writing, if the other party is in material breach of these Terms and fails to remedy that breach within a reasonable period after being notified in writing, or in the event of the other party's bankruptcy, suspension of payments, or cessation of business.
Both parties shall keep confidential any information received from the other party that is marked as confidential or that they should reasonably understand to be confidential (including business, financial and administrative information), and shall not disclose it to third parties except as necessary to perform the Agreement, as required by law, or with the other party's prior written consent. This obligation survives termination of the Agreement.
Where the Services involve GoingAmsterdam.com processing personal data on the Client's behalf (for example, data relating to the Client's own customers, suppliers or employees), GoingAmsterdam.com acts as a data processor and the Client as data controller within the meaning of the GDPR. The parties shall, where required, enter into a separate data processing agreement covering that processing. Personal data collected through this website is instead governed by our Privacy Policy.
All intellectual property rights in this website (including its text, design and layout) belong to GoingAmsterdam.com or its licensors. Unless agreed otherwise in writing, intellectual property rights in templates, tools, systems or working methods used by GoingAmsterdam.com to perform the Services remain with GoingAmsterdam.com; the Client retains full ownership of its own underlying business data and documents at all times.
GoingAmsterdam.com's liability for any damage arising from or in connection with the Services is limited to the amount invoiced for the Services giving rise to the liability in the 6 months preceding the event, and in any case to the amount actually paid out under GoingAmsterdam.com's liability insurance for that event, where applicable. GoingAmsterdam.com is not liable for indirect damage, including but not limited to consequential loss, lost profit, missed savings, or damage caused by the Client's failure to provide accurate, complete or timely information. Nothing in these Terms limits liability for damage caused by intent or wilful recklessness ("opzet of bewuste roekeloosheid") on the part of GoingAmsterdam.com, or liability that cannot be limited or excluded under Dutch law.
Neither party is liable for a failure or delay in performing its obligations that is caused by circumstances beyond its reasonable control (force majeure), including but not limited to illness, IT or utility outages, and government measures. If a force majeure situation lasts longer than 30 days, either party may terminate the Agreement in writing without being liable for any resulting damage.
Complaints about the Services should be submitted in writing, described in as much detail as possible, within a reasonable time — and in any event within 30 days — after the Client discovered or reasonably should have discovered the issue, to info@goingamsterdam.com. We aim to acknowledge complaints within 5 business days and to work with the Client towards a fair resolution.
We may update these Terms from time to time. The version published on this website at the time an Agreement is formed applies to that Agreement, unless a change is required by law or otherwise necessary and is communicated to the Client in advance.
These Terms and any Agreement between GoingAmsterdam.com and a Client are governed exclusively by the laws of the Netherlands. Any dispute arising from or in connection with these Terms or an Agreement shall be submitted to the competent court in Amsterdam, the Netherlands, unless mandatory law prescribes otherwise.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision shall be replaced by a valid provision that most closely reflects its original intent. These Terms, together with the applicable quotation or Agreement, constitute the entire agreement between the parties regarding its subject matter and supersede any prior understanding.
